Terms of Service

Plain version: you pay per store per month, your data stays yours, we run the software as well as we can, and the numbers on the screen are only ever as good as the files your register wrote — which is why the software always tells you where a number came from.

1. The agreement

These terms are between CStoreNexus, operated by EGY Management of Memphis, Tennessee ("we", "us"), and the business that opens an account ("you"). Using the service means accepting them. If you are accepting on behalf of a company, you are saying you may bind it.

2. What the service is

A back office for convenience stores and gas stations: it collects the files your registers write, builds sales and shift reports from them, reads invoices you upload, holds your price book across every location, and queues price and promotion changes back to your registers. It is delivered as a web application, a mobile app, and a small collector program you install on each store's office PC.

3. Your account and your people

You are responsible for everything done under your account, including by the users you add.
Keep credentials secret. Tell us promptly if you think an account has been compromised.
An Owner on your account may add, restrict and remove users at any time, and may see every location.
You must give accurate billing information and keep it current.

4. What you may and may not do

You may use the service for your own stores and the stores you manage. You may not resell it, rent it, or give access to it to a business that is not on your account; reverse engineer it or try to extract its source; probe or attack it; upload malware; or use it to break the law.

5. Your data is yours

You keep every right in the data you put into the service or that your registers produce. You grant us only the permission we need to run the service for you: to store it, process it, display it back to you, and pass an invoice image to the reading service described in our Privacy Policy. We do not use it to train our own models and we do not sell it.

You may export your data at any time from the reports and export controls in the application, and you may ask us for a copy.

6. Fees

$249 per store, per month, unless a written order says otherwise.
Billed monthly in advance. Fees do not include sales or use tax, which is added where it applies.
Adding a store mid-month is prorated; removing one takes effect at the end of the billing month.
We will give at least 30 days' notice by email before any price change, and it will not take effect before your next billing month.
Fees already paid are not refundable except where the law requires it.

7. Availability, and what we do not promise

We aim to keep the service available and will give notice of planned maintenance where we can. We do not offer a contractual uptime guarantee at this price, and we will not pretend otherwise. The service depends on things outside our control — your store's internet connection, your register, your office PC, and Google Cloud.

8. Prices sent to a register

This matters more than anything else on this page. When you change a price in CStoreNexus, the change is written in the register's own format and queued. It is not applied at the pump or the till until that register accepts it and acknowledges it, and the software shows you that acknowledgement.

You remain responsible for the prices that actually ring at your registers, including checking a change took effect. We are not liable for a price that did not apply, applied late, or applied to an item you did not intend, however that came about.

9. About the numbers

The service reports what your registers wrote. Two sources exist and they do not agree: transaction journals arrive within minutes but are incomplete, and day-close movement documents are authoritative but arrive only at close. Every screen says which source it used and how fresh it is. Figures from the live journal are an indication, not the books. CStoreNexus is not an accounting system, a tax filing system, or a substitute for your accountant. Check your books against your own records.

10. Third-party services and equipment

Gilbarco, Verifone, your fuel supplier, your card processor and your lottery provider are not ours and are governed by your agreements with them. We do not warrant their behaviour, and a change they make may break an integration until we can adapt to it.

11. Term and termination

Either of us may end the agreement with 30 days' notice before the next billing month.
We may suspend an account for non-payment after notice, or immediately for abuse that threatens the service or another customer.
After termination you have 30 days to export your data. After that it may be deleted; see the Privacy Policy for what is retained and why.
Your register's own files remain on your store PC throughout. The collector never deletes them.

12. Warranties

The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Some jurisdictions do not allow that, in which case this section applies as far as it may.

13. Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost data. Our total liability for any claim is limited to the fees you paid us in the twelve months before the claim arose. Nothing here limits liability that cannot be limited by law.

14. Changes to these terms

We may update these terms. If a change is material we will email account owners at least 30 days before it takes effect. Continuing to use the service after that means accepting the new terms.

15. Governing law

These terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. The courts of Shelby County, Tennessee have exclusive jurisdiction, and both parties consent to it.
